This Transfer Agreement, named “Bearcat Pathway” is entered into and by and between Willamette University (“Willamette”) and ������������ (“������������”).

It is in the interest of both ������������ and Willamette to facilitate the transfer of qualified students from ������������ to Willamette.

Now Therefore, the parties for good and sufficient consideration agree as follows:

Willamette agrees to accept credits for students transferring from ������������ to Willamette, as outlined in Transfer Pathways in Exhibits A-F, which are hereby incorporated and made part of this agreement.

Terms and Conditions

1. Term: Termination. This agreement shall commence on the date of last signature and shall terminate on June 30th, 2029 unless terminated earlier as provided herein. This Agreement shall be effective for students who apply to transfer from ������������ to Willamette beginning with Willamette’s Fall or Spring term. This Agreement may be renewed for additional terms of any length by the mutual written agreement of the parties. Either party may terminate or suspend this Agreement for convenience upon sixty (60) days’ written notice; provided, however, that the parties shall discuss and reasonably attempt to resolve the issues that led to the notice of termination or suspension during the sixty (60) day period. Notwithstanding the termination of this Agreement, any students who have applied for transfer from ������������ to Willamette prior or during the sixty (60) day period shall be treated as if this Agreement continues to be in effect. This Agreement may also be terminated as provided elsewhere in this Agreement.
2. Admissions: Admission to Willamette is not guaranteed. Students shall apply for admission to Willamette in accordance with the existing rules, policies, and procedures of Willamette.
3. General Provisions:
   1. Academic Alignment: Prescriptive transfer pathways will be maintained and updated as necessary by Willamette and ������������. Pathway updates and maintenance will be conducted each June by the contract administrator for each school.
   2. Academic Record Sharing: ������������ agrees to share whether a Bearcat Pathway student has met their required transfer advising appointments at ������������, upon the student’s request. For the purposes of ensuring that a participant of the Bearcat Pathway is on track to meet requirements, students will be asked to share unofficial transcripts with Willamette, but only with the student’s consent. FERPA: As required by the Family Educational Rights and Privacy Act, 20 USC § 1232(g) (“FERPA”), and ORS 326.565, Contractor may not disclose any information or records regarding students or their families that Contractor might learn or obtain in the course and scope of its performance of this Agreement. The Parties recognize that FERPA imposes strict penalties for improper disclosure or redisclosure of confidential student information, including but not limited to denial of access to personally identifiable information from education records for at least five years (34 § CFR 99.67(e)). Therefore, consistent with FERPA’s requirements, personally identifiable information that Contractor obtains in the performance of this Agreement may not be disclosed to third parties without the written consent of the eligible student or student’s parent or guardian and must be used only for the purposes identified in this Agreement.
   3. Financial Aid Model: Students participating in this pathway will receive a partnership grant in addition to the merit scholarships if they meet the outlined requirements. The amount of partnership grant will be adjusted by Willamette annually as needed in order to ensure that an incoming transfer student with an average merit scholarship will pay a tuition fee comparable to that of an in-state Oregon student attending the University of Oregon.
      • Requirements: Students must be awarded an AAOT or AST/ASOT- Business degree prior to matriculation. Minimum of 3.0 GPA
   4. Campus Engagement: Students on the Bearcat Pathway will have the opportunity to engage in a variety of social and extracurricular activities on the Willamette University campus.
   5. Programmatic Transfer Advising: Students who are on the Bearcat Pathway will be expected to meet with their advisor at ������������ twice per year, and with a Willamette Transfer Counselor to ensure they are on track to meet the requirements.
   6. Transfer Cohorts: Willamette University will use a cohort model to track incoming Bearcat Pathway students.
   7. Promotion: ������������ and Willamette will promote this transfer agreement and major pathways on their individual websites.

2. Termination Due to Non-Appropriation of Funds. If sufficient funds are not provided in future budgets of Willamette to permit Willamette in the exercise of its reasonable administrative discretion to continue this Agreement, or if Willamette or any program for which this agreement was established is abolished, this agreement may be terminated without further liability by not less than 30 days written notice to the ������������ and Contract Administration.
3. No Third Party Beneficiaries. Willamette and ������������ are the only parties to this agreement and are the only parties entitled to enforce its terms.
4. Execution and Counterparts. This Agreement may be executed in several counterparts, each of which shall be an original, all of which shall constitute but one and the same instrument.
5. Merger. This agreement constitutes the entire agreement between the parties. No waiver, consent, modification, or change of terms of this agreement shall bind either party unless in writing and signed by both parties. Such waiver, consent, modification, or change, if made, shall be effective only in the specific instance and for the specific purpose given. There are no understandings, agreements, or representations-oral or written- not specified herein regarding this agreement.
